Overview
A Private Limited Company is the most popular corporate legal entity structure for startups and growing businesses in India. Governed by the Companies Act, 2013, it provides promoters with limited liability protection and makes it extremely easy to raise external venture capital funding, issue employee stock options (ESOPs), and limit personal financial exposure.
Our platform provides end-to-end digital assistance for registering your company. From reserving your proposed name using the MCA RUN portal to generating digital signatures (DSC), director identifiers (DIN), and drafting company deeds (Memorandum and Articles of Association), our legal panelists handle everything.
Business Entity Types
Compare the structural difference between private limited and other popular registration nodes in India:
| Feature | Private Limited | One Person Company (OPC) | Limited Liability Partnership (LLP) |
|---|---|---|---|
| Min. Members | 2 Shareholders / Directors | 1 Shareholder (Must be Indian Resident) | 2 Partners (Designated Partners) |
| Liability Limit | Limited to share capital value | Limited to share capital value | Limited to agreed contribution |
| VC Funding | Very easy (Preferred by VCs & Angels) | Difficult (Requires conversion first) | Moderate (Requires complex agreement) |
| FDI Allowed | Yes, via automatic route mostly | No | Yes, with government approvals |
Requirements
Ensure your team fulfills the minimum checklist required under the Companies Act, 2013 to register:
1. Promoters & Directors
Minimum 2 Directors. At least one director must be a resident of India (stayed in India for >= 182 days in the previous calendar year).
2. Share Capital
No minimum capital requirement is prescribed. Startups can incorporate with an authorized share capital starting from ₹1,00,000.
3. Corporate Title
A unique name proposal containing a suffix of "Private Limited" (Pvt Ltd) that is not identical to existing trademarks or active companies.
4. Registered Office Address
A physical address in India to receive official ROC communications. Commercial or residential addresses are accepted.
Incorporation Process
Our panel handles all application filings step-by-step to deliver your Incorporation credentials:
Step 1: Obtain DSC (Digital Signature Certificate)
We compile promoter details to generate secure class-3 DSC tokens for digital forms signing.
Step 2: Proposed Name Approval (RUN Filing)
We draft name proposals and submit them for validation to the Central Registration Centre (CRC).
Step 3: SPICe+ MCA Application Submission
Promoter deeds (MoA, AoA) are compiled and filed alongside DIN, PAN, and TAN applications.
Step 4: Certificate of Incorporation (COI) Issuance
ROC verifies the documents and issues the active registration certificate, corporate identification number (CIN), and tax codes.
Documents Required
Prepare scan copies of the following documents. No physical hard copies are required:
For Directors / Shareholders
- PAN Card copy (Mandatory for Indian residents)
- Identity Proof (Aadhaar, Passport, or Election Voter Card)
- Address proof (Recent Bank Statement or Electricity Utility Bill)
For Registered Office
